Welcome to Pathly! These Terms & Conditions ("Terms") govern your use of www.pathly.club (the "Site") and our AI-powered consulting services (the "Services"). By creating an account, you agree to these Terms and our Privacy Policy.

- AI Service: Our advice is generated by an AI, not a human. We don't guarantee outcomes.
- Parental Consent: A parent/guardian must create the account for users under 18 and is responsible for all activity.
- Your Content: You own your data, but you give us a broad, transferable license to use it to run our business, train our AI, and as described in our Privacy Policy. This license continues for de-identified data even if you delete your account.
- No Refunds: All payments are final.
- Disputes: Any legal disputes will be handled through binding arbitration, not in court.
1. The Services & Use of Artificial Intelligence
Pathly provides AI-powered consulting services to assist with career and college selection. You acknowledge that the guidance is provided by an automated artificial intelligence (AI) chatbot and is for informational purposes only. Pathly makes no warranties about the accuracy, completeness, or suitability of the AI-generated advice and does not guarantee any specific outcomes (e.g., college admission, job placement).
2. User Accounts & Parental Consent
An account must be registered by a parent or legal guardian for any user under 18. The parent/guardian represents they are at least 18, consents to the minor's use of the Services, and agrees to these Terms on behalf of themselves and the minor. The parent/guardian is fully responsible for all actions and payments on the account.
3. Prohibited Conduct
You agree not to do any of the following:
- Use the Services for any illegal or unauthorized purpose.
- Attempt to reverse-engineer, decompile, or discover the source code of the Site or the AI models.
- Submit malicious data, viruses, or any code of a destructive nature.
- Use automated scripts to collect information from or otherwise interact with the Services.
- Impersonate any person or entity or submit false information.
- Violate the privacy or intellectual property rights of others.
A breach of this section may result in the immediate termination of your account without a refund.
4. User Content and Data License
You retain ownership of the information you submit ("User Content"). However, by submitting User Content, you grant Pathly a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sub-licensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating, providing, training, and improving our Services and AI models.
This license survives the termination of your account, particularly for aggregated, de-identified, or anonymized data, and any content cached or archived by our systems. For more details on our data practices, including the sale of data, please review our Privacy Policy.
5. Payments, Fees, and Refunds
All fees are posted on the Site and must be paid in advance. All payments are final and non-refundable. We reserve the right, at our sole discretion, to issue a refund or credit only in the event of a documented technical failure of the Service.
6. Intellectual Property
All content on the Site and within the Services, excluding User Content, is the exclusive property of Pathly and its licensors.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PATHLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, RESULTING FROM YOUR USE OF OR RELIANCE ON THE AI-GENERATED ADVICE. OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.
8. Indemnification
You agree to indemnify and hold harmless Pathly from any claims, damages, and expenses (including legal fees) arising from your use of the Services or your violation of these Terms.
9. Dispute Resolution by Binding Arbitration
Mandatory Arbitration: You and Pathly agree that any dispute, claim, or controversy arising out of these Terms will be settled by binding arbitration, not in a court of law.
Informal Resolution First: Before filing for arbitration, you agree to first notify Pathly of the dispute at legal@pathly.club and attempt to resolve it informally for at least thirty (30) days.
No Class Actions: You agree to resolve disputes with Pathly on an individual basis only and waive any right to participate in a class-action lawsuit.
Governing Law: These Terms are governed by the laws of the State of California.
10. Termination
We may terminate or suspend your account at our sole discretion, without notice, for any reason, including a breach of these Terms.
11. General Terms
We reserve the right to modify these Terms at any time. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. These Terms constitute the entire agreement between you and Pathly.
